These Terms of Service (“Terms”) govern your use of consulting services provided by RUESHANNA MORRIS. By engaging with our services, you agree to these Terms. If you do not agree, please refrain from using the Site or engaging our services.

Definitions

Client: Refers to the individual, organization, or authorized representative receiving services from RUESHANNA MORRIS, including those acting on behalf of another person or entity.

Deliverables: Refers to any materials, reports, tools, or documentation provided during the engagement.

Agreement: Refers to the signed proposal, contract, or scope of work between the Client and RUESHANNA MORRIS.
Eligibility
Our services are intended for individuals who are at least 18 years of age. By engaging with us, you represent and warrant that you are of legal age to enter into a binding agreement. We do not knowingly provide services to minors.
No Legal or Financial Advice
We do not provide legal, financial, investment, or tax advice. All recommendations, strategies, and deliverables are offered for informational and operational purposes only. Clients are responsible for consulting with qualified professionals before making decisions based on our services. We make no guarantees regarding financial performance, business outcomes, or future results.
Project Acceptance
All requests to engage RUESHANNA MORRIS are subject to review and acceptance at our sole discretion. We reserve the right to decline any project or client engagement that does not align with our services, availability, or strategic focus.
Scope of Services
We provide strategic consulting, and workflow design for impact-driven organizations. Specific deliverables, timelines, and cost will be outlined in individual client agreements.
Client Responsibilities
Clients agree to:
• Provide timely access to relevant data, stakeholders, and systems
• Collaborate during project phases to ensure alignment and accuracy
• Maintain confidentiality of shared materials and communications
Payment Structure
Project payments are milestone-based. An initial payment is required to begin work, with subsequent installments aligned to key phases of delivery as outlined in the project agreement. Work will not begin until the initial payment is received. Final deliverables will be released once the balance is paid in full.

Fees & Payment
Payments are due within 7 calendar days of invoice receipt unless otherwise agreed. Late payments may incur a $25 flat fee or a $10 per day charge, capped at $100. Continued delays may result in suspension of services until payment is received.
No Refunds
All payments made to RUESHANNA MORRIS are non-refundable. By engaging our services, the Client acknowledges that consulting work involves time, expertise, and strategic planning that cannot be returned once delivered.
Errors and Omissions
While we strive to deliver accurate and high-quality work, the Client acknowledges that consulting services may involve complex systems, evolving data, and human judgment. Minor errors or omissions may occur despite best efforts. We agree to correct any such issues brought to our attention within 14 days of delivery, provided they fall within the original scope of work.
Revisions After Delivery
Reasonable revisions to deliverables may be requested by the Client within 7 to 14 days of final delivery. Revisions are limited to adjustments within the original scope of work. Requests that introduce new functionality, features, or strategic direction may require a new agreement or incur additional fees.
Force Majeure
We are not liable for any delay or failure to perform services due to circumstances beyond our reasonable control. This includes, but is not limited to, natural disasters, acts of God, war, terrorism, pandemics, government restrictions, power outages, or other unforeseen events.
Modifications to Services and Pricing
We reserve the right to modify, update, or discontinue any service offerings or pricing at any time without prior notice. Any changes will be reflected on our website or communicated directly to clients when applicable.
Intellectual Property
All frameworks, tools, and systems developed by RUESHANNA MORRIS remain our intellectual property unless otherwise agreed in writing. Clients receive a non-transferable license to use deliverables within their organization for internal purposes only.
Confidentiality
We respect your privacy and confidentiality. Any proprietary or sensitive information shared during the engagement will be treated with care and safeguarded using reasonable measures. We will not disclose such information to third parties without your consent, unless required by law.

Disclaimer of Guarantees
We do not guarantee specific results or outcomes from the use of our services. All recommendations and deliverables are provided based on professional expertise and available information at the time of engagement.
Independent Contractor Status
RUESHANNA MORRIS operates as an independent contractor. Nothing in these Terms shall be construed to create a partnership, joint venture, or employment relationship between RUESHANNA MORRIS and the Client.
Use of Third-Party Tools
We may use third-party platforms or tools (e.g., Airtable, Google Sheets, ClickUp) to deliver services. We are not responsible for the functionality, availability, or data handling practices of these third-party services.
Data Usage & Security
Client data will be used solely for the purpose of delivering agreed-upon services. We implement reasonable safeguards to protect data but cannot guarantee absolute security.
Limitation of Liability
We are not liable for indirect, incidental, or consequential damages arising from the use of our services or deliverables. Our total liability is limited to the amount paid for services rendered.
Availability
We do not guarantee availability outside of agreed-upon project timelines or communication windows. Response times may vary based on workload and scheduling.
Dispute Resolution & Governing Law
We value collaboration and clear communication. If any concerns or disagreements arise, both parties agree to make a good faith effort to resolve the matter informally before considering further action. These Terms are governed by the laws of the State of Tennessee. Any unresolved disputes shall be handled in the courts of Montgomery County, Tennessee.
Termination
Either party may terminate the engagement with 7 days’ written notice. Upon termination, all outstanding fees become immediately due, and any incomplete work will be delivered as-is.
Non-Assignment
The Client may not assign or transfer this Agreement or any rights or obligations under it without prior written consent from RUESHANNA MORRIS.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
Notices
Formal notices must be sent via email to the addresses provided in the Service Agreement. Notices will be deemed received by either party within 24 hours of confirmed transmission, unless a delivery failure is reported or a delay is communicated. Both parties agree to make reasonable efforts to monitor their designated inboxes and respond in good faith.

Changes to Terms
We may update these Terms from time to time. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.
Entire Agreement
These Terms, along with any signed agreements or proposals, constitute the entire agreement between the Client and RUESHANNA MORRIS. They supersede all prior communications, understandings, or representations, whether written or oral.
